a. This agreement shall be governed by Swiss law.
b. For all disputes arising out of or in connection with this agreement, including those concerning its valid conclusion, legal validity, amendment or termination, the parties agree to the exclusive jurisdiction of the ordinary courts at the registered office of the seller.
